Adani Power To Acquire JP Power Stake, Churk Plant For Rs 4,194 Crore

Adani Power on Thursday announced that it has signed definitive agreements with Jaiprakash Associates Ltd to acquire a 24 per cent stake in Jaiprakash Power Ventures Ltd and the 180 MW Churk thermal power plant in Uttar Pradesh for a combined value of Rs 4,194 crore.

In a stock exchange filing, the company said it signed a Share Purchase Agreement to acquire Jaiprakash Associates’ 24 per cent stake in Jaiprakash Power Ventures for around Rs 2,993.6 crore.

Separately, Adani Power entered into a Business Transfer Agreement to acquire the 180 MW Churk thermal power plant in Sonbhadra district, along with associated assets, including an 11.49 per cent stake in Prayagraj Power Generation Company Ltd, for Rs 1,200 crore.

The company stated that the transactions form part of the National Company Law Tribunal-approved resolution plan for Jaiprakash Associates, under which Adani Enterprises Ltd is the resolution applicant, while Adani Power is acting as one of the implementing entities.

Adani Power had earlier expressed interest in participating in the resolution process, and the latest agreements formally execute the acquisition under the approved framework.

The company said it will complete both transactions through cash payments on the ‘effective date’ specified under the resolution plan, subject to regulatory approvals and implementation timelines.

The Competition Commission of India cleared the deal in August 2025, while the NCLT approved the resolution plan in March 2026. The NCLAT later upheld the order.

Jaiprakash Power Ventures Ltd operates thermal and hydropower assets with a total capacity of 2,220 MW, along with mining and cement interests.

The Churk plant in Uttar Pradesh’s Sonbhadra district has a capacity of 180 MW.
